PURCHASE AGREEMENT
Payment Terms – Seller reserves the right to restrict the terms of payment or to require payment prior to time of shipment, if in the Seller’s opinion, the Buyer’s financial conditions or other circumstances do not warrant shipment on terms originally specified in contract. A service charge of 1 ½% per month will be charged on all accounts past due.
Acceptance – All goods shall be conclusively presumed to conform to description, grade and condition described herein unless Buyer shall, within five (5) business days of delivery of the goods notify Aronson-Campbell Industrial Supply, Inc. in writing about any nonconformity. Seller shall, upon receipt of written notification, correct such nonconformity at its option, either by repairing any defect, or making available F.O.B. Aronson-Campbell Industrial Supply, Inc. replacement goods. If Aronson-Campbell Industrial Supply, Inc. is unable to correct nonconformity or to replace the nonconforming goods within thirty (30) calendar days of receipt of written notice, Aronson-Campbell Industrial Supply, Inc. shall return money paid by Buyer on account of such nonconforming goods.
If Buyer is not satisfied with the purchase and the item purchased is not a special item, Buyer must notify Aronson-Campbell Industrial Supply, Inc. in writing within five (5) business days of the delivery of the order to obtain an RMA (Return Merchandise Authorization) number.
Exclusive Remedy – Correction of nonconformities, replacement of goods, or return of money, as provided above, shall constitute fulfillment of all liabilities of Aronson-Campbell Industrial Supply, Inc. to Buyer, whether based on contract, negligence or otherwise with respect to, or arising out of the goods described herein. THE REMEDIES SET FORTH HERIN ARE EXCLUSIVE AND CONSTITUTE BUYER’S SOLE REMEDIES. UNDER NO CIRCUMSTANCES SHALL Aronson-Campbell Industrial Supply, Inc. BE LIABLE FOR SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES. Errors in extension of prices in the order, acknowledgment or invoice, are subject to correction. Buyer shall not reduce or offset any monies claimed, without the express written consent of Aronson-Campbell Industrial Supply, Inc.
Governing Law – The sale of the goods described herein shall be governed by the Uniform Commercial Code as modified by the laws of the State of Washington or as specifically changed by this order, with the exception of Washington’s conflict of law rules. Venue for any dispute arising herein shall be in King County, Washington.
Reduction of Quantities – Aronson-Campbell Industrial Supply, Inc. reserves the right at any time to reduce quantities to such amount as it may determine and to change deliveries, if Aronson-Campbell Industrial Supply, Inc. should be advised that it will receive from their respective usual sources of supply reduced quantities of goods or services due to government rules, regulations, restrictions, requirements or orders affecting directly or indirectly Aronson-Campbell Industrial Supply, Inc. regular resources of supply, or any other causes (whether or not similar to the foregoing) beyond control of Aronson-Campbell Industrial Supply, Inc. Reduced quantities shall be paid for proportionately at the contract price and terms. Aronson-Campbell Industrial Supply, Inc. reserves the right to ship plus or minus 10% of quantities ordered on all special orders.
Express Warranties, Disclaimer of Implied Warranties – The buyer acknowledges that it will inspect all products delivered without the aid of Aronson-Campbell Industrial Supply, Inc. Aronson-Campbell Industrial Supply, Inc. expressly warrants that the goods will reasonably conform to the description and condition of the product as described in this sales contract.
Aronson-Campbell Industrial Supply, Inc. DOES NOT WARRANT THAT THE GOODS ARE MERCHANTABLE OR FIT FOR ANY PARTICULAR PURPOSE AND THIS SALE IS MADE AS IS AND WITH ALL FAULTS. THERE ARE NO EXPRESSED OR IMPLIED WARRANTIES MADE BY ARONSON-CAMPBELL INDUSTRIAL SUPPLY, INC., EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT.
Attorney’s Fees – In the event suit or action is instituted to enforce any of the terms and conditions herein, the party deemed to be prevailing party shall recover from the other party its costs and reasonable attorney’s fees.
Security Interest – In consideration of Aronson-Campbell Industrial Supply, Inc. selling the goods described herein to Buyer, Buyer hereby grants to Aronson-Campbell Industrial Supply, Inc. a security interest in the goods described herein, together with all accessories, substitutions, additions, replacements, as well as the products and proceeds thereof to secure payment of the purchase price of the goods described herein.
Sales Tax – Aronson-Campbell Industrial Supply, Inc. will apply sales tax as required by the State of Washington.
Shipping – All orders shipped from Aronson-Campbell Industrial Supply, Inc. will be charged freight FOB. If an order is shipped directly from the vendor to the Buyer, freight will be governed by the vendor’s freight policy. If Buyer has special freight requirements, Buyer must notify Aronson-Campbell Industrial Supply, Inc. at time order is placed.
